Seems like a push...you upgrade your first baseman and downgrade your outfield while swapping two similar pitchers.
Maybe you can get a better pitcher in the deal or upgrade another position like SS or C?

I have a guy hounding Stanton. I love having Stanton, prolly my fav player (but only cause I have him and just started watching baseball league-wide last yr), but I had a solid offer for him. I won last yr, so I really don’t feel like I have to win this yr. Please note, my team is as powerful as a lawnmower.
Stanton, Bailey, Pederson for Goldschmidt, Wacha, Polanco.
He said I can get Chris Davis in the deal, but I’m pretty set at 1B and 3B especially if I get Goldschmidt. My Util is pretty set with Dee Gordon (with Altuve in my 2B) and Donaldson in 3B.

I would take Wacha over Bailey, but I think Stanton is the best player in this deal, so I would not accept.

I'm with the others. More of a lateral move than anything else. Let him know you don't really feel it makes a difference to your roster and you don't want to trade for the sake of trading, so fire me a bigger upgrade at another position and maybe we can get something done.
Maybe word it better than that, but something along those lines.
