It's a downgrade at all 3 positions and the difference at TE makes this offer a joke. I wouldn't even bother with a counter. One could easily argue that it's closer to a veto than it is an even trade but it's somewhere in between. If a perfectly even trade is 100 and an obvious veto is a 0 then this is probably around a 30.
